Terms of sale
The terms you agree to when you place an order with Tannic Labs.
This page was drafted from the policies Tannic Labs already had in its FAQ. It is a reasonable starting point, not legal advice, and it has not been reviewed by counsel. Have a lawyer check it before you rely on it — particularly the liability and governing-law sections.
1. Who may buy
By placing an order you confirm that you are at least 21 years of age, that you are purchasing for legitimate laboratory research, and that you are doing so in a jurisdiction where these materials may lawfully be purchased for that purpose.
We sell to research laboratories, academic groups and qualified independent researchers. We reserve the right to decline or cancel any order, at our discretion, without giving a reason.
2. Research use only
All materials are supplied strictly for laboratory and in-vitro research use. They are not drugs, foods, cosmetics or medical devices. They have not been evaluated for safety in humans or animals and must not be used in or on either, nor for diagnostic use or consumption.
You accept full responsibility for the safe handling, storage, use and disposal of everything you buy from us, and for compliance with all laws that apply to you. Tannic Labs accepts no liability for misuse.
3. No dosing or protocol guidance
We supply materials and documentation only. We do not provide dosing information, administration guidance, or advice relating to use in humans or animals, and we will not make an exception on request. Any such request may result in an order being declined.
4. Prices and payment
Prices are in US dollars and may change without notice. The price that applies is the one displayed at the time your order is placed. Payment is taken at checkout; orders are not dispatched until payment clears. Institutional purchase orders can be arranged in advance — see Bulk orders.
5. Product information
We describe products as accurately as we can, and the certificate of analysis for your lot is the authoritative record of its identity and purity. Purity figures shown on product pages are release thresholds; the measured result for your specific lot is on its certificate.
6. Dispatch, title and risk
Title and risk pass on dispatch. Delivery estimates are estimates, not guarantees, and we are not liable for carrier delays outside our control.
7. Returns
Returns are governed by our Shipping & returns policy, which forms part of these terms.
8. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of any order is limited to the amount you paid for the goods giving rise to the claim. We are not liable for indirect, incidental or consequential loss, including loss of data, loss of research output, or loss of profit.
Nothing in these terms excludes liability that cannot lawfully be excluded.
9. Indemnity
You agree to indemnify Tannic Labs against claims, losses and costs arising from your use, handling, storage, resale or disposal of materials purchased from us, or from your breach of these terms.
10. Changes
We may update these terms. The version in force is the one published at the time you place your order.
11. Governing law
These terms are governed by the laws of the State of [STATE], United States, and the courts of that state have exclusive jurisdiction.
The governing-law state is a placeholder. Set it to the state Tannic Labs is actually registered in — a wrong or missing choice-of-law clause can be worse than none at all.
